1. Agreement to Terms
By engaging MS GLOBAL SOLUTIONS LTD ("we," "us," "our") to provide services, you ("the Client") agree to be bound by these Terms of Service. These terms, along with our written Proposal, form the entire agreement between us.
2. Our Services
We provide alternative legal service provider (ALSP) services as detailed in individual Proposals. All descriptions of services are for illustrative purposes and do not form a representation or warranty.
3. Client Responsibilities
The Client agrees to:
a. Provide all necessary information, documentation, and cooperation in a timely manner to enable us to perform the services.
b. Ensure all information provided is accurate and complete.
c. Appoint a single point of contact for efficient communication.
4. Fees and Payment
a. Our fees are as set out in the Proposal. All fees are quoted exclusive of VAT, which will be added where applicable.
b. Payment terms are 15 Days from the date of invoice. We may require an advance payment before commencing work.
c. Late payments may incur interest at the rate of 6% above the Bank of England's base rate.
5. Intellectual Property
All intellectual property rights in any materials, systems, methodologies, and pre-existing know-how used by us remain our sole property. Upon full payment of our fees, the Client will receive a licence to use the deliverables created specifically for them.
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement, except as required by law.
7. Limitation of Liability
Our total liability to the Client, whether in contract, tort (including negligence), or otherwise, shall be limited to the total fees paid by the Client under the relevant Proposal in the 12 months preceding the claim. We shall not be liable for any indirect, consequential, or special damages.
8. Termination
Either party may terminate this agreement by providing written notice if the other party commits a material breach and fails to remedy it within 30 days. Termination does not affect any rights or liabilities that accrued prior to termination.
9. Governing Law and Jurisdiction
This agreement and any dispute arising from it shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
